Keystone Infrastructure’s Competitive Positioning

Keystone Infrastructure has been preparing for a scenario in which the Generation Capital deal does not materialize. Keystone’s strategy is predicated on the belief that Generation Capital may face challenges in securing the necessary approvals from the Israel Competition Authority and the Public Utility Authority (Electricity).

To bolster its position, Keystone has taken concrete steps to ensure it has the liquidity required for a potential acquisition. The fund has signed a memorandum of understanding with a leading financial institution, granting it a credit facility of up to 2 billion shekels. This capital is earmarked for the purchase of Shikun & Binui Energy for 4.35 billion shekels in cash.

Background of the Bid and Corporate Stakes

The current ownership structure places Shikun & Binui as the dominant stakeholder, holding a 67% interest in its energy subsidiary. Keystone, under the control of Roni Biram and Gil Deutsch and with CEO Navot Bar, originally submitted its offer in mid-June 2025. This bid was designed to provide the parent company with a viable alternative path if the primary deal hit a regulatory wall.
