SPK Approves Merger of UCZ Mağazacılık Into Şok Marketler

The Capital Markets Board of Turkey (SPK) has officially approved the merger of UCZ Mağazacılık Ticaret A.Ş. into its parent company, Şok Marketler Ticaret A.Ş. The decision concludes a formal, simplified merger process, resulting in the total dissolution of the UCZ Mağazacılık legal entity.

Completion of the Merger Process

Following the approval of the announcement text by the SPK, the 14-year-old retail chain UCZ Mağazacılık has been fully integrated into the corporate structure of Şok Marketler. Under the terms of the simplified merger method, Şok Marketler—which already held 100% of the shares and voting rights of the subsidiary—has absorbed all assets, liabilities, and receivables of the former chain.

The merger was conducted in accordance with the Turkish Commercial Code, the Corporate Tax Law, and capital market regulations. According to reports, the legal personality of UCZ Mağazacılık has been terminated, and the transfer of its operational structure is now complete. The process was previously disclosed to investors through the Public Disclosure Platform (KAP).

Historical Background of UCZ Mağazacılık

UCZ Mağazacılık entered the retail sector in 2012, beginning its operations with 10 stores. The brand gained initial recognition for its “very cheap” slogan and a low-price policy that allowed for rapid expansion into neighborhood locations.

However, the company faced significant challenges in later years, including operational difficulties within its franchise system, rising costs, and the departure of founding partners from management. These factors contributed to a slowdown in growth and management uncertainty. A major turning point occurred in 2017 when Yıldız Holding intervened, leading to the acquisition of a large portion of the stores, which were subsequently converted into Şok Market branches.

Impact on Retail Operations

While the UCZ brand has disappeared from storefronts, many of its former locations have been operating under the Şok Market banner for a significant period. The formal completion of this merger consolidates these assets under a single legal umbrella.

Industry analysts suggest that this consolidation is intended to increase the competitive power of Şok Marketler and improve the efficiency of its store network. Because Şok Marketler already held 100% ownership of the subsidiary, the merger does not result in any changes to the parent company’s existing ownership structure.
