Zanatta Family to Buy 9.09% Stake in Tecnica Group From Italmobiliare

The Zanatta family is increasing its control over il Nord Est after Prime Holding signed an agreement to acquire a 9.09% stake in the company from bergamo.corriere.it. The transaction involves a total consideration of approximately 50 million euros, according to announcements made on Friday, July 31, 2026. Prime Holding is the control holding company tied to the founding Zanatta family, while Italmobiliare operates as the investment holding group of the Pesenti family.

Zanatta Family Expands Stake in Tecnica Group

The purchase agreement is dependent on the finalization of a loan contract between the buyer and a pool of top-tier banks, which have already provided a binding commitment to the acquirer. Upon completion, the closing of the operation is anticipated before the end of the third quarter of 2026.

Shareholder Structure and Governance Updates

When the transaction closes, the total stake held by the Zanatta family through various vehicles will rise from 60% to 69.09%. Meanwhile, Italmobiliare—which is part of the Pesenti group—will reduce its holding from 40% to 30.91%, maintaining a significant presence in the capital of the enterprise.

The completion of the deal will also trigger the signing of a new shareholders’ agreement and the adoption of a new corporate bylaws document. These terms will preserve minority protections that remain largely continuous with current arrangements, while also introducing purchase options in favor of Prime Holding concerning the remaining shares held by Italmobiliare.

He added that when they decided to open up the capital in 2017, they did so to find a partner that shared their industrial perspective in order to support the Group in strengthening its international leadership, expressing gratitude to Italmobiliare for the strategic and managerial support it is providing and stating that they are pleased it continues to share this vision of growth with them, while noting that strengthening their presence in the capital represents the natural evolution of the path initiated in 2017, as they deeply believe in the company’s future and want to confirm their long-term commitment through a concrete investment.

Financial Growth and Market Position

Italmobiliare initially entered the capital of Tecnica Group at the end of 2017 by acquiring a 40% stake under a medium-to-long-term investment strategy focused on value creation. During this partnership, the outdoor footwear and ski equipment manufacturer experienced substantial financial expansion. The group’s turnover climbed from 368 million euros in 2017 to more than 540 million euros by 2025.

Headquartered in Giavera del Montello, Treviso, Tecnica Group oversees a portfolio of internationally recognized brands including Tecnica, Nordica, Blizzard, Lowa, Moon Boot, and Rollerblade. Following the share transfer, Italmobiliare intends to continue supporting the Italian group toward its future strategic objectives.

Financial reporting for the first half of 2026 showed positive momentum, with revenues rising 1.3% to 173.8 million euros compared to 171.5 million euros in the corresponding period of 2025, alongside an improved operating margin. The winter sports segment—consisting of Nordica, Tecnica, Blizzard, and Moon Boot—grew by 23.6%, supported by a strong order backlog for the second half of the year. Although Lowa experienced a decline when compared against a 2025 period that benefited from fulfilling delayed orders, the contraction slowed relative to the first three months of the year. As of June 30, 2026, the group’s net financial position was negative at 163 million euros.
